Terms of Service

This page reflects the general terms governing use of the O&P Cloud CAD platform. Commercial terms, pricing, and User allocations are defined in the applicable customer addendum. Please contact us with any questions.

1. Effective Date & Term

This Agreement is effective as of the date set forth in the applicable addendum ("Effective Date"). The Agreement remains in effect for the term defined in the addendum and will automatically renew unless terminated in accordance with this Agreement.

2. Service Overview

O&P Cloud CAD provides a customizable, template-based CAD platform designed for the Orthotics and Prosthetics (O&P) industry. The platform enables clinicians and manufacturers to control the design process through an intuitive digital workflow, improving outcomes and expanding operational capability. O&P Cloud CAD provides design tools and workflow support. Clinical decisions and patient care remain the responsibility of the user. The platform is provided as a subscription service.

3. Onboarding & Training

A one-time onboarding fee provides access to online training materials and a defined amount of live online video conferencing training. Additional live training, including live online or in-person sessions, may be purchased separately at any time under a separate agreement. O&P Cloud CAD provides various online support and training materials that the customer has access to, as well as support for reasonable questions related to the use of the platform. Support is intended to assist Users in understanding and effectively using the system within normal operational workflows. Support does not include unlimited training, custom development, or services outside the intended use of the platform. O&P Cloud CAD and its support partners will make reasonable efforts to respond to support inquiries in a timely manner during normal business hours.

4. Users (Account Structure)

For purposes of this Agreement: A "Customer" means a business, clinic, manufacturer, or organization that subscribes to the O&P Cloud CAD platform. A "User" means an individual account associated with a Customer. Each Customer is allocated a fixed number of Users as defined in the applicable addendum. Users may not share accounts. The Customer is responsible for managing and controlling User access to the platform.

5. Tokens & Usage

Certain actions within the platform require tokens. Tokens are primarily used when exporting, downloading, or otherwise externalizing data from the system. This includes, but is not limited to: • Digital models of rectified limbs • Digital models of sockets generated from rectified limbs Token tiers and pricing are defined in the addendum. Tokens represent a minimum annual allocation and do not roll over unless explicitly stated in the addendum. Additional usage beyond the allocated tokens will be billed as defined in the addendum.

6. Payment Terms

Fees are defined in the applicable addendum. O&P Cloud CAD may suspend access for non-payment or terminate access for material or repeated violations of this Agreement. Fees are non-refundable unless otherwise agreed in writing.

7. Pricing Updates & Renewal

Upon renewal, O&P Cloud CAD may update pricing, including subscription fees, token pricing, and related commercial terms. Updated pricing will be reflected in a new addendum issued for the renewal term. Customers will be notified of pricing changes prior to renewal. Pricing during an active term will not change until renewal.

8. Customer Responsibilities

The Customer agrees to: • Use the platform professionally • Maintain security of User accounts • Ensure compliance with applicable laws • Manage User access • Not share accounts • Not misuse the platform

9. Data & Privacy

Customers retain ownership of their data. The customer can agree on an opt-in basis to allow O&P Cloud CAD to use their data for investigation and improving software, including such things as AI training. O&P Cloud CAD processes data solely to provide the service and applies reasonable safeguards. Customers are responsible for compliance with applicable regulations.

10. Service Availability

O&P Cloud CAD aims to provide continuous service with periodic maintenance.

11. Cancellation

Customers may cancel their subscription by providing written notice at least seven (7) days prior to the end of the current calendar year. If notice is provided within this timeframe, the Customer's access and billing will continue through the end of the current year. The Customer will be invoiced for all applicable fees for that final year. On the first day of the following year, access to the platform and all User accounts will be disabled. Data may be deleted within a reasonable period after termination.

12. Limitation of Liability

O&P Cloud CAD is not liable for indirect or consequential damages arising from use of the platform. The platform is provided as a design tool; clinical decisions and patient care remain the sole responsibility of the licensed practitioner.

13. Entire Agreement

This Agreement and its addendum represent the full agreement between the parties.

14. Addendum Control

All pricing, User limits, and commercial terms are defined in the applicable addendum. Any change to User count requires a new addendum that replaces prior User allocation terms.
